By engaging with VenuDesigns LLP for any service, you confirm that you have read, understood, and agreed to these Terms. These Terms apply to all clients, users, and visitors.

We reserve the right to modify or discontinue any aspect of our Services at any time.

2. Services Provided

VenuDesigns LLP offers professional IT and digital services, including but not limited to:

UI/UX Design (Web & Mobile)
Website & Software Development
SaaS Product Design & Development
AI-Integrated Solutions
IT Consulting & Support Services

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. User Responsibilities

You agree to:

Provide accurate and up-to-date information
Share all necessary assets and approvals within agreed timelines
Use our services only for lawful purposes
Not interfere with, misuse, or disrupt our systems or services

Delays caused by missing inputs, approvals, or feedback from the client may impact timelines and are not the responsibility of VenuDesigns LLP.

4. Payments & Billing Policy

Advance payments are strictly non-refundable under any circumstances
Any remaining or pending project amount must be fully cleared before delivery of source files
Final files, source files, editable designs, or credentials will not be shared until full payment is received
All prices are exclusive of applicable taxes unless stated otherwise

5. Subscriptions & Monthly Services

Subscription services must be paid until the official deactivation date
Partial-month usage will be billed as a full month unless otherwise agreed
Non-payment may result in immediate suspension of services
Subscription fees are non-refundable

6. Ownership & Intellectual Property

All designs, UI components, layouts, concepts, code, and website elements remain the sole property of VenuDesigns LLP until full payment is completed
Even after payment, VenuDesigns LLP retains the right to showcase the work in portfolios, case studies, and marketing materials
Clients may not resell, redistribute, or reuse any work without written permission
Unauthorized use or duplication is strictly prohibited

7. Revisions & Scope Control

Revisions are limited to the scope defined in the agreement or proposal
Any additional features, pages, redesigns, or changes beyond scope will be billed separately
Verbal or informal requests are not considered valid unless approved in writing

8. Termination of Services

We reserve the right to suspend or terminate services if:

Payments are delayed or unpaid
Terms are violated
Client engages in abusive, unethical, or unlawful behavior
Project becomes unviable due to lack of cooperation

In case of termination, all payments made remain non-refundable.

9. Limitation of Liability

To the maximum extent permitted by law, VenuDesigns LLP shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services.

10. Disclaimer

All services are provided “as is” and “as available” without warranties of any kind, expressed or implied. We do not warrant that our services will be error-free, secure, or uninterrupted.

11. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of India, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
